OFFICIAL RULES  

NO PURCHASE NECESSARY TO ENTER OR WIN; A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. AFFIDAVIT OF ELIGIBILITY, RELEASE OF LIABILITY & PRIZE ACCEPTANCE AGREEMENT MAY BE REQUIRED. BY ENTERING (OR OTHERWISE PARTICIPATING) IN THE SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH CREATE A CONTRACT SO READ THEM CAREFULLY BEFORE ENTERING.  WITHOUT LIMITATION, SUCH CONTRACT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES TO SPONSOR FROM YOU, A CLASS ACTION WAIVER, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

WELL APP:  The “Well App” refers to the proprietary software application(s) owned by Sponsor either as mobile applications or on a software-as-a-service basis.  The Well App is available for free to download from the App Store (iOS devices) or the Google Play Store (Android devices).

ELIGIBILITY:  To enter the 6 days for a shot at $100 sweepstakes (the “Sweepstakes”), you must be: (i) a U.S. resident who physically resides in the 50 United States (includes DC); (ii) eighteen (18) years of age or older at the time of entry; and (iii) a registered member of the Well application (“Eligible User”). Employees of Sponsor or its affiliates, sales representatives, agents, dealers, retailers, wholesalers, distributors, and promotional and other vendor agencies involved in the Sweepstakes, are NOT eligible. Sweepstakes is subject to all federal, state, and local laws and regulations. Void where prohibited or restricted by law.

SWEEPSTAKES PERIOD:  The Sweepstakes Period begins on December 9, 2025, at 8:00 a.m. Eastern Time (“ET”) and ends on December 26, 2025 at 11:59 p.m. ET (the “Sweepstakes Period”).  

HOW TO ENTER:  To enter, earn points (excluding MyHealth streaks and challenge completions) on 6 different days on the Well app during the Sweepstakes Period. Upon completing this, you will receive one (1) entry into the Sweepstakes. Entries that are lost, late, incomplete, illegible, corrupted, mechanically reproduced, falsified, mutilated, damaged, altered or otherwise irregular, misdirected entries, or entries not received for any other reason will be void and disqualified at Sponsor’s sole and absolute discretion.  

In addition, Sponsor will award 25 points (ARV $0.25) in the Well App to every Eligible User who earns eligible points on at least 6 different days on the Well App during the Sweepstakes Period. Please allow 72 hours after Sweepstakes Period for points to be credited to the registered Well user.  Points redeemable in the Well Marketplace.  No substitutions or cash-outs unless determined in the sole discretion of the Sponsor.  

PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”): 

One hundred fifty (150) prizes will be awarded as follows: One hundred fifty (150) winners will be selected to receive 10,000 points each, which may be redeemed in the Well Marketplace (ARV: $100).

Total ARV of all prizes to be awarded: $15,000.  The ARV of the prize represents Sponsor’s good faith determination.  The determination is final and binding and cannot be appealed.  Only one prize per person and per household will be awarded.  

All federal, state, and local taxes on prizes are the sole responsibility of the winner.  Redemption of points by winner(s) is subject to the terms and conditions of Well Marketplace.  Where not prohibited, affidavit of eligibility (including SSN), prize acceptance form, tax information, publicity release, and/or mutually acceptable liability releases may be required from winner(s). Prizes are not transferable and no substitution or cash equivalent is allowed, except in Sponsor’s sole discretion. Sponsor reserves the right to substitute prizes of the same ARV if advertised prizes become unavailable for any reason.  Prizes consist only of items specifically listed as part of the prize. All costs and expenses not specified herein relating to the prizes are the sole responsibility of the winner(s).

SELECTION PROCESS & ODDS OF WINNING: On or about January 2, 2026 a drawing from among all eligible entries will be conducted to select 150 winners for the Sweepstakes. Odds of winning a prize depend on the number of eligible entries received. Selected entrants will be notified by e-mail and/or via the Well App on or about the drawing date(s). 

PUBLICITY RELEASE:  Except where prohibited, acceptance of a prize constitutes winner’s consent that his or her name, likeness, voice and/or biographical data may be used for advertising and promotional purposes without limitation and without additional notice, compensation, or consent.

ENTRANTS’ AGREEMENT TO ABIDE BY OFFICIAL RULES:  By entering, entrant agrees that they have read, accepted, and will abide by and be bound by these Official Rules and agrees that any dispute with regard to the conduct of this Sweepstakes, rules interpretation, or the awarding of prizes shall be submitted to Sponsor, whose decision shall be binding and final.

RELEASE OF LIABILITY:  By entering, entrant agrees to release and hold harmless Sponsor and its dealers and retailers, affiliates, sales representatives, agencies, wholesalers, distributors and promotional and other vendor agencies involved in the Sweepstakes, their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the officers, directors, employees, agents and representatives of any of the above organizations (“Released Parties”) from any injury, loss or damage to person, including death, or property due in-whole or in-part, directly or indirectly, to the acceptance or use/misuse of any prize, participation in any Sweepstakes-related activity, or participation in the Sweepstakes.

LIMITATION OF LIABILITY:  Released Parties are not responsible for, and each entrant releases and holds harmless the Released Parties from and against, any and all losses, damages, actions, demands, liabilities or claims of whatever nature or kind arising out of, or in connection with a prize, or any portion thereof, or this Sweepstakes.  Without limiting the generality of the foregoing, the Released Parties will not be responsible for any typographical or other error in the printed or other materials related of this Sweepstakes, the administration of the Sweepstakes, the selection of entrants, in the announcement of prizes, including erroneous appearance of qualification for the prizes, any entries or entrants disqualified for any of the reasons stated in these Official Rules, or any loss, damage, or claims caused by, or in any way related to the prizes or the Sweepstakes itself.

WARNING: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS.  SHOULD SUCH ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGE FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND TO BAN OR DISQUALIFY SUCH PERSON FROM THIS AND FUTURE SWEEPSTAKES AND/OR THE WELL APP, IN SPONSOR’S SOLE DETERMINATION.

DISPUTES REGARDING THE IDENTITY OF ENTRANT:  Entries will be deemed made by the authorized Well App account holder at the time of entry.  In the event of a dispute, the selected entrant may be required to provide proof that they are the authorized holder of the identified e-mail account. Final determination of the identity of the entrant as it relates to awarding of the prize(s) will be made by the Sponsor.

CHANGES TO SWEEPSTAKES, OFFICIAL RULES, ETC.:  Under no circumstances will more than the stated number of prizes be awarded.  Sponsor reserves the right, in its sole and absolute discretion, to modify, cancel, or suspend this Sweepstakes, or to amend the Official Rules at any time, without prior individual notice, should any factor interfere with the administration, security, or proper play of this Sweepstakes as contemplated by these Official Rules.  If for any reason Sponsor is prevented from continuing with this Sweepstakes, or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, provincial/territorial or local government law, order or regulation, order of any court or jurisdiction, Sponsor shall have the right, but not the obligation, in its sole and absolute discretion, to award the prizes from among all entries received to date.

DISPUTES/CHOICE OF LAW:  Each entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court in NORTH CAROLINA; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees, and; (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and the Sponsor in connection with this Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of NORTH CAROLINA, without giving effect to any choice of law or conflict of law rules or provisions of any other jurisdiction that would cause the application of the laws of any jurisdiction other than those of the State of NORTH CAROLINA.

RULES GOVERN: The Sweepstakes will be run in accordance with these Official Rules, which shall prevail, govern and control in the event of any inconsistency with any Sweepstakes-related materials.

PRIVACY:  Personally identifiable information that is submitted by entrants as part of this Sweepstakes will be used to administer the Sweepstakes, select the prize winners, and fulfill the prizes, and will be treated in accordance with Sponsor’s Privacy Policy available at www.well.co/privacy.

WINNERS’ LIST:  For the name of the winners, send a self-addressed stamped envelope to:  Well Dot, Inc., ATTN: Winner’s List – 6 days for a shot at $100 Challenge Offer and Sweepstakes, 501 West Franklin Street, Chapel Hill, NC 27516.  Requests for the names of the winners must be received no later than thirty (30) days after Sweepstakes Period has ended.

APP DE WELL: La “App de Well” se refiere a la aplicación o las aplicaciones de software exclusivas y propiedad del Patrocinador, bien sean aplicaciones móviles o bien sean como software a modo de servicio. La App de Well se puede descargar gratis desde la App Store de Apple (dispositivos iOS) o la Play Store de Google (dispositivos Android).

ELEGIBILIDAD: Para participar en el sorteo “6 días para tener la oportunidad de ganar $100” (el “Sorteo”), debes: (i) ser residente en los Estados Unidos con residencia física en uno de los 50 estados (incluido DC); (ii) tener dieciocho (18) años o más en el momento de participar; y (iii) ser miembro registrado de la app de Well (“Usuario elegible”). Los empleados del Patrocinador o sus afiliados, representantes de ventas, agentes, distribuidores, minoristas, mayoristas, distribuidores y agencias de promoción y otros proveedores involucrados en el Sorteo NO son elegibles. El Sorteo está sujeto a todas las leyes y los reglamentos federales, estatales y locales. No tendrá validez donde lo prohíba o restrinja la ley.

PERÍODO DEL SORTEO: El Período del Sorteo comienza el 9 de diciembre de 2025 a las 8:00 a.m. Hora del Este (ET) y finaliza el 26 de diciembre de 2025 a las 11:59 p.m. (ET) (el “Período del Sorteo”). 

CÓMO PARTICIPAR: Para participar, gana puntos (están excluidas las finalizaciones de retos y rachas de Salud) en 6 días diferentes en la app de Well durante el Período del Sorteo. Al completarlo, recibirás una (1) entrada al Sorteo. Las entradas para participar perdidas, incompletas, ilegibles, deterioradas, reproducidas de forma mecánica, falsificadas, deformadas, dañadas, alteradas o irregulares de cualquier otro modo, o entradas enviadas al destinatario incorrecto o que no se hayan recibido por cualquier otro motivo, serán nulas y se descalificarán a la entera y absoluta discreción del Patrocinador. 

Además, el Patrocinador otorgará 25 puntos (valor minorista aproximado: $0,25) en la app de Well a cada Usuario Elegible que gane puntos elegibles en al menos 6 días diferentes en la app de Well durante el Período del Sorteo. En un plazo de 72 horas tras el Período del Sorteo, se abonarán los puntos a los usuarios de Well registrados. Los puntos se pueden canjear en el Mercado de Well. No se sustituirán los puntos ni se canjearán por efectivo, a menos que lo determine el Patrocinador a su entera discreción. 

PREMIOS Y VALOR MINORISTA APROXIMADO: 

Se otorgarán ciento cincuenta (150) premios de la siguiente manera: se seleccionarán ciento cincuenta (150) ganadores que recibirán 10.000 puntos cada uno, los cuales se podrán canjear en el Mercado de Well (valor minorista aproximado: $100).

Valor minorista aproximado de todos los premios: $15.000. El valor minorista aproximado del premio representa la determinación de buena fe del Patrocinador. Esta determinación es definitiva y vinculante, y no se puede apelar. Solo se concederá un premio por persona y hogar. 

El ganador será el único responsable de abonar todos los impuestos sobre premios locales, estatales y federales. El canje de puntos por parte de los ganadores está sujeto a los términos y las condiciones del Mercado de Well. Siempre que no esté prohibido, se podrá exigir a los ganadores que presenten una declaración jurada relativa al cumplimiento de los requisitos para participar (incluido el Número de Seguro Social), un formulario de aceptación del premio, información fiscal, una autorización de utilización de datos, imagen o voz a efectos de publicidad o exenciones de responsabilidad admisibles por todas las partes. Los premios son intransferibles, y no se permite ninguna sustitución ni equivalente de efectivo, salvo a la entera discreción del Patrocinador. El Patrocinador se reserva el derecho a sustituir los premios por otros del mismo valor minorista aproximado si los premios anunciados no estuvieran disponibles por cualquier motivo. PROCESO DE SELECCIÓN Y PROBABILIDADES DE GANAR: El 2 de enero de 2026, o en torno a esa fecha, se realizará un sorteo entre todas las entradas elegibles para seleccionar a los 150 ganadores del Sorteo. Las probabilidades de ganar un premio dependen del número de entradas aptas recibidas. Se informará a los participantes seleccionados a través de correo electrónico o de la App de Well en la fecha o las fechas del sorteo al azar, o en torno a las mismas. 

AUTORIZACIÓN DE USO DE DATOS, IMAGEN O VOZ A EFECTOS DE PUBLICIDAD: Salvo en aquellos lugares en los que esté prohibido, la aceptación de un premio constituye el consentimiento del ganador de que su nombre, imagen, voz o datos biográficos puedan utilizarse a efectos promocionales y de publicidad, sin limitación alguna ni preaviso, retribución o consentimiento adicionales.

ACUERDO DEL PARTICIPANTE A CUMPLIR LAS REGLAS OFICIALES: Al participar, el participante acuerda haber leído y aceptado estas Reglas oficiales, así como el cumplimiento de estas y su vinculación a las mismas. Además, acuerda que cualquier disputa relativa a cómo se lleve a cabo el Sorteo, la interpretación de las reglas o la concesión de premios se trasladará al Patrocinador, cuya decisión será vinculante y definitiva.

EXENCIÓN DE RESPONSABILIDAD: Al participar, el participante acuerda eximir de responsabilidad al Patrocinador, así como a sus agentes y minoristas, afiliados, representantes de ventas, agencias, mayoristas, distribuidores y agencias promocionales u otras agencias proveedoras que participen en el Sorteo, así como sus respectivas sociedades matrices, afiliadas, filiales, agencias de servicio, contratistas independientes, y los directivos, administradores, empleados, agentes y representantes de cualquiera de las organizaciones anteriores (las “Partes eximidas”) de cualquier lesión, pérdida o daño a la persona, incluido el fallecimiento, o a la propiedad debido, total o parcialmente, directa o indirectamente, a la aceptación o el uso / uso inadecuado de cualquier premio, la participación en cualquier actividad relacionada con el Sorteo o la participación en el mismo.

LIMITACIÓN DE RESPONSABILIDAD: Las Partes eximidas no son responsables de —y los participantes eximen de cualquier responsabilidad a las Partes eximidas ante— cualquier pérdida, daño o perjuicio, acción, demanda, responsabilidad o reclamación de cualquier naturaleza o índole derivados de cualquier premio, o una parte de cualquier premio, o de este Sorteo, o relacionados con los mismos. Sin pretender limitar la generalidad de lo anteriormente dispuesto, las Partes eximidas no serán responsables de cualquier error tipográfico o cualquier otro error en materiales impresos o de otro tipo relacionados con este Sorteo, la administración del Sorteo, la selección de participantes, en el anuncio de premios, incluidos errores relativos a la posibilidad de optar a premios, cualquier entrada o participante que haya resultado desclasificado por cualquiera de los motivos expuestos en estas Reglas oficiales o de cualquier pérdida, daño o perjuicio o reclamación derivados de los premios o del Sorteo, o relacionados de cualquier modo con los mismos.

ADVERTENCIA: CUALQUIER INTENTO DE CUALQUIER PERSONA DE MENOSCABAR DELIBERADAMENTE EL FUNCIONAMIENTO LEGÍTIMO DEL SORTEO PODRÍA SUPONER UNA INFRACCIÓN DE LEYES CIVILES O PENALES. EN CASO DE QUE SE PRODUZCA DICHO INTENTO, EL PATROCINADOR SE RESERVA EL DERECHO A RECLAMAR INDEMNIZACIONES Y DAÑOS Y PERJUICIOS A DICHA PERSONA EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY Y A PROHIBIR O DESCALIFICAR A DICHA PERSONA DE ESTE Y FUTUROS SORTEOS Y/O DE LA APP DE WELL, A LA ENTERA DISCRECIÓN DEL PATROCINADOR.

DISPUTAS RELATIVAS A LA IDENTIDAD DEL PARTICIPANTE: Se considerará que el titular autorizado de la cuenta de la App de Well es quien ha enviado las entradas en el momento de la participación. En caso de disputa, se podrá exigir al participante seleccionado que proporcione pruebas de que es titular autorizado(a) de la cuenta de correo electrónico identificada. La determinación final de la identidad del participante en relación con la concesión de los premios la realizará el Patrocinador.

CAMBIOS EN EL SORTEO, REGLAS OFICIALES, ETC.: Bajo ninguna circunstancia se concederán más premios de los establecidos. A su entera y absoluta discreción, el Patrocinador se reserva el derecho a modificar, cancelar o suspender este Sorteo, o a modificar las Reglas oficiales en cualquier momento, sin aviso previo, en caso de que cualquier factor afecte a la administración, la seguridad o el desarrollo adecuado de este Sorteo, según se indica en estas Reglas oficiales. Si, por cualquier motivo, el Patrocinador no puede continuar con el Sorteo, o la integridad o viabilidad del mismo se ve perjudicada por cualquier evento, incluidos, entre otros, incendios, inundaciones, epidemias, terremotos, explosiones, disputas laborales o huelgas, actos fortuitos o de enemigos públicos, fallos en satélites o equipos, disturbios o desórdenes civiles, guerras (declaradas o no), amenazas o actividad terroristas, o cualquier reglamento, código o ley gubernamental local, territorial/provincial, estatal o federal o cualquier orden de cualquier tribunal o jurisdicción, el Patrocinador tendrá el derecho, pero no la obligación, a su entera y absoluta discreción, a conceder los premios entre todas las entradas recibidas hasta ese momento.

DISPUTAS/ELECCIÓN DE LEGISLACIÓN: Los participantes aceptan que (1) todas las disputas, reclamaciones y causas de demandas derivadas de este Sorteo o cualquier premio otorgado, o relacionadas con el mismo, se resolverán con carácter individual, sin recurrir a ninguna otra forma de demanda colectiva, y cualquier procedimiento judicial se deberá realizar en un tribunal estatal o federal de CAROLINA DEL NORTE; (2) todas las reclamaciones, sentencias y laudos se limitarán a los costos corrientes efectivos en los que se incurra, incluidos los costos asociados a la participación en el Sorteo, pero en ningún caso a los honorarios de los abogados, y (3) bajo ninguna circunstancia, se permitirá a los participantes obtener premios y, por el presente, renuncian a cualquier derecho a reclamar cualquier daño o perjuicio consiguiente, incidental o punitivo o cualquier otro daño o perjuicio que no sea relativo a los gastos corrientes efectivos, así como cualquier derecho a multiplicar o ampliar de cualquier otro modo los daños o perjuicios. Todos los asuntos derivados de la elaboración, validez, interpretación y exigibilidad de estas Reglas oficiales, o los derechos y las obligaciones de los participantes y del Patrocinador con respecto a este Sorteo, estarán regidos por las leyes del Estado de CAROLINA DEL NORTE y se interpretarán con arreglo a las mismas, sin dar efecto a ninguna elección de legislación o conflicto de normas o disposiciones de leyes de cualquier otra jurisdicción que diera lugar a la aplicación de leyes de cualquier jurisdicción distintas de las del Estado de CAROLINA DEL NORTE.

PREVALENCIA DE ESTAS REGLAS: El sorteo se realizará de acuerdo a estas Reglas oficiales, que serán las que prevalezcan, rijan y se apliquen en caso de que surja cualquier incoherencia en cualquiera de los materiales relacionados con el Sorteo.

PRIVACIDAD: La información de identificación personal que presenten los participantes en el marco de este Sorteo se utilizará para administrar el Sorteo, seleccionar a los ganadores de los premios y entregarlos y se tratarán con arreglo a la Política de privacidad del Patrocinador, disponible en www.well.co/privacy.
