BY ENTERING (OR OTHERWISE PARTICIPATING) IN THE SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH CREATE A CONTRACT SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, SUCH CONTRACT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES TO SPONSOR FROM YOU, A CLASS ACTION WAIVER, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

WELL APP: The “Well App” refers to the proprietary software application(s) owned by Sponsor either as mobile applications or on a software-as-a-service basis. The Well App is available for free download at the Apple App Store (iOS devices) or the Google Play Store (Android devices).

ELIGIBILITY: To enter the Well $100 Activation Challenge (the “Sweepstakes”), you must be: (i) a legal U.S. resident who physically resides in the 50 United States (includes DC); (ii) eighteen (18) years of age or older at the time of entry; and (iii) a Bank of America employee who is enrolled in a health plan offered by Bank of America and administered by Anthem, Aetna, or UnitedHealthcare (the “Health Plan”), or (iv) the spouse or domestic partner of such employees; provided that the spouse or domestic partner is also enrolled in the Health Plan (collectively, “Eligible Users”). Individuals of Sponsor or its affiliates, sales representatives, agencies, dealers, retailers, wholesalers, distributors, and promotional and other vendor agencies involved in the Sweepstakes, their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the immediate family (parent, spouse, sibling, child, grandparent, grandchild, regardless of where they reside) and household members of all such individuals, are NOT eligible. Sweepstakes is subject to all federal, state, and local laws and regulations. Void where prohibited or restricted by law.

SWEEPSTAKES PERIOD: The Sweepstakes Period begins on February 20, 2024 at 8:00 a.m. Eastern Time (“ET”) and ends on February 29, 2024, at 11:59 p.m. ET (the “Sweepstakes Period”).

HOW TO ENTER: To enter, download the Well app and activate your account using your work email address. If you have an Apple phone, find the app here: Well Digital. If you have an Android phone, find the app here: Well Digital. Upon completing this, you will receive one (1) entry into the Sweepstakes. Entries that are lost, late, incomplete, illegible, corrupted, mechanically reproduced, falsified, mutilated, damaged, altered or otherwise irregular, misdirected entries, or entries not received for any other reason will be void and disqualified at Sponsor’s sole and absolute discretion.r.

PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”): One hundred (100) prizes will be awarded as follows: One hundred (100) winners will be randomly selected to receive 10,000 points each, which may be redeemed in the Well Marketplace (ARV: $100).

Total ARV of all prizes to be awarded: $10,000. The ARV of the prize represents Sponsor’s good faith determination. The determination is final and binding and cannot be appealed. Only one prize per person and per household will be awarded.

All federal, state, and local taxes on prizes are the sole responsibility of the winner. Redemption of points by winner is subject to the terms and conditions of Well Marketplace. Where not prohibited, affidavit of eligibility (including SSN), prize acceptance form, tax information, publicity release, and/or mutually acceptable liability releases may be required from winner. Prizes are not transferable and no substitution or cash equivalent is allowed, except in Sponsor’s sole discretion. Sponsor reserves the right to substitute prize of the same approximate retail value if advertised prizes become unavailable for any reason. Prizes consist only of items specifically listed as part of the prize. All costs and expenses not specified herein relating to the prizes are the sole responsibility of the winner.

RANDOM DRAW & ODDS OF WINNING: On or about March 7, 2024, a random drawing for one hundred (100) prizes will be conducted from among all eligible entries. Odds of winning a prize depend on the number of eligible entries received during the Sweepstakes Period. Selected entrants will be notified by push notification and/or via the Well App within five (5) business days.

PUBLICITY RELEASE: Except where prohibited, acceptance of a prize constitutes winner’s consent that his or her name, likeness, voice and/or biographical data may be used for advertising and promotional purposes without limitation and without additional notice, compensation, or consent.

ENTRANTS’ AGREEMENT TO ABIDE BY OFFICIAL RULES: By entering, entrant agrees that s/he has read, accepted, and will abide by and be bound by these Official Rules and agrees that any dispute with regard to the conduct of this Sweepstakes, rule interpretation, or the awarding of prizes shall be submitted to Sponsor, whose decision shall be binding and final.

RELEASE OF LIABILITY: By entering, entrant agrees to release and hold harmless Sponsor and its dealers and retailers, affiliates, sales representatives, agencies, wholesalers, distributors and promotional and other vendor agencies involved in the Sweepstakes, their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the officers, directors, individuals, agents and representatives of any of the above organizations (“Releasees”) from any injury, loss or damage to person, including death, or property due in-whole or in-part, directly or indirectly, to the acceptance or use/misuse of any prize, participation in any Sweepstakes-related activity, or participation in the Sweepstakes.

LIMITATION OF LIABILITY: Releasees are not responsible for, and each entrant releases and holds harmless the Releasees from and against, any and all losses, damages, actions, demands, liabilities or claims of whatever nature or kind arising out of, or in connection with a prize or any portion thereof or this Sweepstakes. Without limiting the generality of the foregoing, the Releasees will not be responsible for any typographical or other error in the printed or other materials related of this Sweepstakes, the administration of the Sweepstakes, the selection of entrants, in the announcement of prizes, including erroneous appearance of qualification for the prizes, any entries or entrants disqualified for any of the reasons stated in these Official Rules, or any loss, damage, or claims caused by, or in any way related to the prizes or the Sweepstakes itself.

WARNING: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS. SHOULD SUCH ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGE FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND TO BAN OR DISQUALIFY SUCH PERSON FROM THIS AND FUTURE SWEEPSTAKES.

DISPUTES REGARDING THE IDENTITY OF ENTRANT: Entries will be deemed made by the authorized Well App account holder at the time of entry. In the event of a dispute, the selected entrant may be required to provide proof that s/he is the authorized holder of the identified e-mail account.

CHANGES TO SWEEPSTAKES, OFFICIAL RULES, ETC.: Under no circumstances will more than the stated number of prizes be awarded. Sponsor reserves the right, in its sole and absolute discretion, to modify, cancel, or suspend this Sweepstakes, or to amend the Official Rules at any time, without prior individual notice, should any factor interfere with the administration, security, or proper play of this Sweepstakes as contemplated by these Official Rules. If for any reason Sponsor is prevented from continuing with this Sweepstakes, or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, provincial/territorial or local government law, order or regulation, order of any court or jurisdiction, Sponsor shall have the right, but not the obligation, in its sole and absolute discretion, to award the prizes from among all entries received to date.

DISPUTES/CHOICE OF LAW: Each entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court in NORTH CAROLINA; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees, and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and the Sponsor in connection with this Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of NORTH CAROLINA, without giving effect to any choice of law or conflict of law rules or provisions OF any other jurisdiction that would cause the application of the laws of any jurisdiction other than those of the State of NORTH CAROLINA.

RULES GOVERN: The Sweepstakes will be run in accordance with these Official Rules, which shall prevail, govern and control in the event of any inconsistency with any Sweepstakes-related materials.

PRIVACY: Personally identifiable information that is submitted by entrants as part of this Sweepstakes will be used to administer the Sweepstakes, select the prize winners, and fulfill the prizes, and will be treated in accordance with Sponsor’s Privacy Policy available at www.well.co/privacy.

WINNERS’ LIST: For the name of the winners, send a self-addressed stamped envelope to: Well Dot, Inc., ATTN: Winner’s List – Well $100 Activation Challenge, 419 West Franklin Street, Chapel Hill, NC 27516. Requests for the names of the winners must be received no later than thirty (30) days after Sweepstakes Period has ended.

OFFER PERIOD: The “2,500 Point Join Well” Offer (the “Offer”) is available beginning 8:00 am March 8, 2022 and ends at 11:59 pm on December 31, 2024.

OFFER REDEMPTION: Sponsor will award 2,500 points to every Eligible User who downloads the Well Application and creates an account during the Offer Period.

TO PARTICIPATE: An Eligible User must download the Well Application, and create an account to become a Well Member.
Please allow 72 hours after account creation for points to be credited to a Well Member account. Approximate Retail Value of 2,500 points: $25.00. Points redeemable in the Well Marketplace. No substitutions or cash-outs unless determined in the sole discretion of the Sponsor.

RELEASE / LIMITATION OF LIABILITY: By participating in the Offer, participants agree to accept and abide by these Terms & Conditions and agree that any dispute with regard to the conduct or administration of this Offer or the interpretation of these Terms & Conditions shall be submitted to Sponsor, whose decision shall be binding and final. By participating in this Offer, participants further agree to release and hold harmless Sponsor and its dealers and retailers, affiliates, sales representatives, distributors and promotional and other vendor agencies, their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the officers, directors, employees, agents and representatives of any of the above organizations (collectively, the “Released Parties”) from any injury, loss or damage to person, including death, or property due in-whole or in-part, directly or indirectly, to participation in this Offer or participation in any Offer-related activity.

ELIGIBILITY: The Offer is open to Bank of America employees who work at a Bank of America site and the spouse or domestic partner of such employees, in each case, (i) who are enrolled in a health plan offered by Bank of America and administered by Anthem, Aetna, or United Healthcare (the “Health Plan”), and (ii) who have downloaded the Well Application (collectively, “Eligible Users”).

OFFER PERIOD: The “Custom Gift Box” Offer (the “Offer”) is available beginning 8:00 am March 8, 2022 and ends at 11:59 pm on December 31, 2024.

OFFER REDEMPTION: Sponsor will award one premium gift box to every Eligible User who downloads the Well Application and creates an account during the Offer Period (a “Well Member”).

TO PARTICIPATE: The Well Member may request a gift box by chatting with a Well Guide using the Ask Well feature of the App. The Well Member may select one of the gift box options. The gift box options may vary. Gift box requests will be fulfilled by an external vendor. Well is not responsible for gift box fulfillment or contents. No substitutions or cash-outs unless determined in the sole discretion of the Sponsor.

Sponsor is not responsible for any typographical or other error in the printing of the Offer, administration of the Offer, or errors relating to the announcement of eligibility or qualification for the Offer. ELIGIBILITY: The Offer is open to Bank of America employees and the spouse or domestic partner of such employees, in each case, (i) who are enrolled in a health plan offered by Bank of America and administered by Anthem, Aetna, or United Healthcare (the “Health Plan”), and (ii) who have downloaded the Well Application (collectively, “Eligible Users”).

OFFER PERIOD: The “Well Days” Offer (the “Offer”) begins on 8:00 am January 17, 2024 and ends at 11:59 pm on December 31, 2024 and is triggered the day an Eligible User creates a Well account and becomes a “Well Member” and continues for six additional days.

OFFER REDEMPTION: Sponsor will award 100 bonus points for each day the Well Member logs into the Well application and performs a journey action during the Offer Period.

TO PARTICIPATE: Sign into the Well application and perform any journey action. Please allow 72 hours after Offer Period for points earned to be credited to Well Member Accounts. Approximate Retail Value of 100 points: $1.00. Maximum awarded 700 points (Approximate Retail Value of $7). Points redeemable in the Well Marketplace. No substitutions or cash-outs unless determined in the sole discretion of the Sponsor.
